1. Introduction

These Terms & Conditions (“Terms”) govern your access to and use of PromptToolFactory.com:

• any related content, downloads, templates, prompts, systems, documentation, support, updates, or services provided through the website or member portal.

Prompt Tool Factory is operated by Hodgkinson Publishing Ltd, a company based in the United Kingdom (“Prompt Tool Factory”, “we”, “us”, or “our”).  By accessing the website, purchasing membership access, creating an account, logging into the member portal, using any tool, or otherwise using our services, you agree to these Terms.  If you do not agree to these Terms, you must not access or use the website, membership, member portal, tools, or related services.

2. Business-to-Business Terms

The Prompt Tool Factory membership is intended for business, commercial, professional, entrepreneurial, educational, and organisational use. It is not intended primarily for personal, domestic, household, or consumer use.

By purchasing membership access, creating an account, or using the tools, you confirm that:

• you are acting for business, trade, professional, commercial, or organisational purposes;
• you are not purchasing primarily as a consumer;
• if you are purchasing on behalf of a company, partnership, agency, client, employer, or other organisation, you have authority to bind that organisation;
• all information you provide is accurate and not misleading;
• you are at least 18 years old;
• you will comply with all applicable laws and these Terms.

If any non-excludable consumer, statutory, or mandatory legal rights apply to you, nothing in these Terms is intended to exclude, restrict, or limit those rights where doing so would be unlawful.

Prompt Tool Factory provides paid membership access to proprietary GPT, AI, prompt, automation, workflow, and related digital tools through a secure member portal.

Membership may include, depending on the offer purchased:

• business workflow tools;

• instructions;

The exact features, tools, benefits, and materials available may vary over time.  We may add, remove, replace, update, modify, suspend, improve, restrict, rename, or discontinue any tool, feature, template, training, resource, workflow, or membership component at any time.  Unless we expressly state otherwise in writing, membership access does not guarantee lifetime availability of any specific tool, feature, platform, third-party integration, GPT, prompt, model, output, or resource.

5. One-Time Payment

Membership fees are charged as a one-time payment unless clearly stated otherwise at checkout.  Your one-time payment gives you access to the membership level, portal, and tools described at the time of purchase, subject to:

• these Terms;
• acceptable use limits;
• fair use restrictions;
• technical limitations;
• third-party platform availability;
• security requirements;
• account standing;
• any specific terms displayed at checkout;
• our right to update, replace, restrict, or discontinue tools and features.

A one-time payment is not a recurring subscription unless the checkout page expressly states that recurring billing applies.

6. Immediate Digital Delivery

The Prompt Tool Factory membership consists of immediate access to proprietary technical tools, digital content, AI tools, prompt systems, member resources, and related digital services.  By completing your purchase, you request and agree to immediate digital delivery and immediate access to the membership, portal, tools, and digital resources.  You acknowledge that digital access may begin immediately after payment confirmation or as soon as your account is provisioned.

7. No Refunds Except Duplicate Purchases

Because the membership provides immediate digital delivery of proprietary technical tools, AI tools, prompt systems, digital resources, and member portal access, all sales are final to the fullest extent permitted by law.  We do not offer refunds, cooling-off refunds, cancellation refunds, money-back guarantees, satisfaction guarantees, results-based refunds, or partial refunds.  The only refund exception we offer is for genuine duplicate purchases.  A duplicate purchase means that the same customer, using substantially the same identity, email address, business, or payment method, accidentally purchases the same membership more than once.  To request a duplicate purchase refund, contact us through the support desk.

You must provide:

• purchaser name;
• purchase email address;
• transaction IDs;
• purchase dates;
• evidence that the purchase was a duplicate;
• any other reasonable information we request.

If we verify that a genuine duplicate purchase occurred, we may refund the duplicate transaction to the original payment method.  We reserve the right to refuse a duplicate refund request where we reasonably believe that:

• the purchases were not duplicates;
• separate accounts, users, seats, companies, or licences were intended;
• the request is fraudulent, abusive, or unsupported;
• access has been transferred, shared, used, resold, or exploited;
• the request is outside any reasonable evidence period;
• a chargeback, dispute, or payment reversal has already been initiated.

Nothing in this section limits any rights that cannot lawfully be excluded.

8. No Money-Back Guarantee

We do not offer any money-back guarantee.  Any examples, demos, case studies, testimonials, tool descriptions, screenshots, workflows, or use cases are provided for illustrative purposes only and do not create a guarantee, warranty, promise, or assurance of any particular result, outcome, saving, income, profit, productivity gain, ranking, lead generation result, business improvement, or performance.

9. Account Registration and Security

You may need to create an account to access the member portal and tools.

You agree to:

• provide accurate account information;
• keep your login credentials confidential;
• use a strong password;
• not share, sell, lease, sublicense, transfer, publish, or disclose your account access;
• promptly notify us of suspected unauthorised access;

Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable licence to access and use the membership, member portal, tools, content, prompts, templates, workflows, and materials for your own internal business or professional purposes.  This licence does not transfer ownership of any intellectual property to you.

You must not:

• resell the membership;
• resell, repackage, clone, publish, distribute, or sublicense our tools;
• create competing tools from our proprietary systems;
• share member-only materials outside your organisation;
• remove copyright notices;
• claim ownership of our tools, prompts, workflows, systems, frameworks, or materials;
• reverse engineer, decompile, scrape, extract, or attempt to discover underlying prompts, system instructions, architecture, workflows, code, logic, or proprietary methods;
• use the tools to train competing systems;
• use automated access, bots, scraping tools, or bulk extraction systems;
• bypass usage limits, paywalls, access controls, or security measures.

11. Authorised Users

Unless your purchase expressly includes multiple seats, team access, agency rights, client rights, or redistribution rights, membership access is for one purchaser or one authorised account only.  You must not allow unauthorised users to access your account.  If you require team, agency, enterprise, or multi-user access, contact us through the support desk.  We may require additional fees, written approval, or a separate agreement.

12. Acceptable Use

You agree not to use the website, member portal, membership, tools, outputs, or materials to:

• break the law;
• infringe intellectual property rights;
• violate privacy, data protection, confidentiality, or publicity rights;
• generate, facilitate, or distribute unlawful, deceptive, harmful, abusive, defamatory, hateful, harassing, exploitative, or malicious content;
• create malware, spyware, phishing, spam, credential theft, or cyber abuse;
• mislead others about AI-generated content;
• generate fake reviews, fake testimonials, fake endorsements, fake legal evidence, fraudulent documents, or deceptive commercial claims;
• impersonate others;
• submit personal information you are not authorised to process;
• submit sensitive personal data without lawful basis and safeguards;
• violate platform, model, API, or third-party provider policies;
• attempt prompt injection, jailbreaks, model extraction, system prompt extraction, or security bypasses;
• overload, disrupt, attack, or interfere with the website, portal, tools, servers, or providers;
• use the tools for regulated professional advice without qualified human review;
• use the tools in high-risk, safety-critical, emergency, medical, legal, financial, employment, credit, insurance, housing, law enforcement, migration, biometric, or other regulated decision-making contexts without appropriate expert oversight, compliance review, and human accountability;
• use outputs as a substitute for professional judgement.

We reserve the right to investigate, suspend, restrict, or terminate access for suspected unacceptable use.

13. AI Tools and Outputs

Our tools may use AI, GPT, automation, prompt systems, language models, APIs, third-party infrastructure, and proprietary workflows.

You acknowledge and agree that:

• AI outputs may be inaccurate, incomplete, outdated, biased, unsuitable, offensive, or misleading;
• outputs may not be unique;
• similar or identical outputs may be generated for other users;
• outputs may require human review, editing, verification, and legal/compliance checking;
• we do not guarantee factual accuracy, legality, suitability, originality, intellectual property clearance, regulatory compliance, commercial results, or fitness for any particular purpose;
• you are solely responsible for reviewing, validating, editing, approving, and using any output;
• you are responsible for ensuring that your use of prompts, inputs, files, data, and outputs complies with applicable law, contracts, professional obligations, platform terms, and industry rules.

You must not rely on AI outputs as professional legal, financial, tax, medical, psychological, safety, investment, insurance, HR, employment, or regulatory advice.

14. Your Content

“Your Content” means prompts, files, instructions, data, text, information, materials, business information, or other content you submit to the website, portal, tools, or support desk.  You retain ownership of Your Content, subject to any rights you grant us under these Terms.  You grant us a worldwide, non-exclusive, royalty-free licence to host, copy, process, transmit, display, adapt, and use Your Content as reasonably necessary to:

• generate outputs;
• provide support;
• troubleshoot errors;
• secure the portal;
• prevent misuse;
• improve service functionality;
• comply with legal obligations;

All rights, title, and interest in and to the website, brand, membership, member portal, tools, prompts, prompt systems, workflows, templates, methods, frameworks, training materials, copy, code, designs, graphics, videos, documents, downloads, systems, trade names, logos, and proprietary materials belong to us or our licensors.  All website content and information is protected by copyright, trade secret, database rights, trademark rights, and other intellectual property rights.  Except as expressly allowed in these Terms, you must not copy, reproduce, distribute, modify, publicly display, publish, sell, lease, license, reverse engineer, extract, scrape, or create derivative works from our intellectual property.  All rights not expressly granted are reserved.

17. Feedback

If you provide feedback, suggestions, improvement ideas, feature requests, comments, or similar input, you grant us a perpetual, irrevocable, worldwide, royalty-free right to use, adapt, develop, commercialise, and exploit that feedback without restriction or compensation to you.

18. Testimonials and Case Studies

If you provide a testimonial, review, success story, case study, screenshot, comment, or feedback, you grant us permission to use it for marketing, website, sales, social proof, and promotional purposes, unless you expressly tell us otherwise in writing.  We may edit testimonials for length, clarity, grammar, formatting, and presentation, provided we do not materially misrepresent your views.  You must not provide false, misleading, fake, incentivised, or deceptive testimonials.

19. Third-Party Services

The website, checkout, member portal, tools, or outputs may depend on third-party platforms, payment processors, hosting providers, AI providers, APIs, integrations, software, browser functionality, email systems, or other services.  We are not responsible for third-party downtime, errors, outages, pricing changes, policy changes, security incidents, restrictions, model changes, API changes, account restrictions, or service discontinuation.  Your use of third-party services may be subject to separate third-party terms and policies.

20. Availability and Changes

We aim to provide reasonable access to the website, member portal, and tools, but we do not guarantee uninterrupted, error-free, secure, or permanent availability.  We may suspend, restrict, modify, update, or discontinue any part of the website, membership, portal, or tools at any time, including for:

We are not responsible for payment processor errors, declines, holds, fees, account restrictions, fraud checks, or processing delays.

23. Chargebacks and Payment Disputes

• payment is reversed;
• a chargeback is filed;

To the fullest extent permitted by law, our total aggregate liability arising out of or relating to these Terms, the website, membership, portal, tools, outputs, or services will not exceed the amount you paid for the relevant membership giving rise to the claim, or £100, whichever is greater.
