1. Introduction
These Terms & Conditions ("Terms") govern your access to and use of PromptToolFactory.com, the Prompt ToolFactory membership, secure member portal, proprietary GPTs and member tools, training, prompts, workflows, templates, downloads, documentation, support resources and related services.
Prompt Tool Factory is operated by Hodgkinson Publishing Ltd ("Prompt Tool Factory", "we", "us", or "our"). By purchasing membership access, creating or using an account, logging into the portal, using our tools or otherwise using the service, you agree to these Terms.
2. Business-to-Business Terms
The Prompt ToolFactory membership is intended for business, commercial, professional, entrepreneurial, educational and organisational use and is not offered primarily for personal, domestic or household use.
By purchasing, you confirm that you are at least 18, are acting for business or professional purposes, have authority to bind any organisation on whose behalf you purchase, and will comply with applicable law and these Terms. Nothing in these Terms excludes mandatory rights that cannot lawfully be excluded.

4. The Membership
Prompt ToolFactory provides paid access to proprietary GPT, prompt-engineering, product-development, browser-tool, workflow, training and related member resources through a secure member area and associated platforms.
Membership components may include GPT-based systems, standalone browser tools, prompt systems, templates, workflows, instructions, documentation, training, build methods, examples, commercial resources, member-only updates and supporting utilities.
We may add, replace, update, rename, improve, restrict, suspend or discontinue individual membership components over time. Membership does not guarantee permanent availability of any particular GPT, AI model, third-party platform, feature or resource.
5. One-Time Membership Payment and Continued Access
Your payment provides continued access to the membership for the life of the Prompt ToolFactory membership while it is operated, subject to these Terms, your account remaining in good standing, technical and third-party availability, security requirements, and our right to update or replace individual resources.
We deliberately do not describe this as guaranteed "lifetime access" to any specific tool, platform or feature. Third-party services can change or disappear, and the membership itself may evolve substantially over time.
6. Immediate Digital Delivery
The membership provides immediate or near-immediate access to proprietary digital tools, GPTs, training and member resources. By completing your purchase you request immediate digital delivery and acknowledge that access may begin as soon as payment is confirmed and your account is provisioned.
7. Business Digital Sale and No-Refund Policy
We do not offer cooling-off refunds, cancellation refunds, satisfaction refunds, results-based refunds, money-back guarantees or partial refunds. The only discretionary refund exception we offer is for a verified genuine duplicate purchase of the same membership by the same purchaser.
To request review of a duplicate purchase, contact the support desk with purchaser name, purchase email, transaction IDs, purchase dates and reasonable evidence of the duplicate. We may refuse a request where the transactions were not genuine duplicates, separate seats/licences were intended, the request appears abusive or unsupported, access has been transferred or exploited, or a payment dispute/chargeback has already been filed. Nothing in this section limits rights that cannot lawfully be excluded.
8. Account Registration and Security
Member access is for the purchaser or authorised account holder unless a separate licence expressly allows additional users. You must provide accurate information, keep credentials confidential, use appropriate account security and notify us of suspected unauthorised access.
We may suspend or terminate access where we reasonably suspect credential sharing, unauthorised resale, fraud, abuse, security risk, payment reversal, extraction of proprietary systems or other breach of these Terms.
9. Licence to Use Prompt ToolFactory Membership Materials
Subject to payment and compliance with these Terms, we grant you a limited, revocable, non-exclusive, non-transferable licence to access and use Prompt ToolFactory itself and its proprietary member-only tools, GPTs, prompts, workflows, training, templates, documentation and resources for your authorised business/professional use.
This membership licence does not transfer ownership of Prompt ToolFactory, our GPT instructions, Factory methods, proprietary prompts, companion tools, training, downloads, code, branding or other membership intellectual property.
10. Your Finished Tools: Commercial, PLR and White-Label Rights
As between you and us, a finished digital tool or product that you create for yourself using Prompt ToolFactory (a "Member-Created Tool") may be used by you as you wish for lawful business purposes. You may brand, modify, host, distribute, give away, bundle, sell, license, sublicense, white-label or offer that finished Member-Created Tool with PLR or other commercial rights, including for clients or other sellers.
To the extent we control rights in code, text or other output generated specifically as part of your finished Member-Created Tool, we grant you the rights necessary to exercise the commercial permissions above. This does not guarantee that any output is copyrightable, unique, non-infringing or free from third-party rights; you remain responsible for appropriate review.
These commercial permissions apply only to your finished Member-Created Tools. They do not permit you to sell, sublicense, publish, share, clone, extract or redistribute Prompt ToolFactory itself, its custom GPT, hidden/system instructions, Factory methodology, member-only prompts, training, Factory Hacks, WYSIWYG editor, Marketing Machine, Custom-Build Profit Machine, Page Profit PLR Pro, Dash Builder, Embed Code Generator, Rebrander, Chrome Extension Kit Builder, manuals, downloads or any other proprietary membership resource unless that specific resource expressly includes separate redistribution rights in writing.
You must not use your Member-Created Tool rights as a means of recreating, cloning or distributing the Prompt ToolFactory membership or a substantially equivalent copy of our proprietary Factory systems.
11. Authorised Users
Unless your purchase expressly includes multiple seats, team access or another written arrangement, member-login access is for one purchaser or one authorised account. The fact that you may distribute Member-Created Tools does not grant recipients access to your PTF membership account.
12. Acceptable Use
You must not use the website, membership, tools or outputs to break the law; infringe intellectual-property, privacy or confidentiality rights; create malware, phishing, credential theft or cyber abuse; produce fake reviews, fake testimonials or fraudulent evidence; impersonate others; submit data you are not authorised to process; bypass access controls; extract hidden system instructions; or use our systems for other unlawful, deceptive or abusive purposes.
High-risk, regulated, safety-critical, legal, medical, financial, employment, credit, insurance, housing, biometric or similar decision-making requires appropriate qualified human oversight and compliance review. PTF output is not a substitute for professional judgement.
13. AI, ChatGPT and Outputs
Prompt ToolFactory currently uses ChatGPT as an important part of the member build environment. ChatGPT and other AI services are third-party services and may change their models, policies, limits, features, pricing or availability.
AI outputs may be inaccurate, incomplete, outdated, biased, duplicated, non-unique or unsuitable. You are responsible for reviewing, testing, editing, validating and approving prompts, code, copy, recommendations and finished tools before publishing, selling, licensing or relying on them.
14. Your Content and ChatGPT Privacy
You retain ownership of content you supply to us directly, subject to rights reasonably necessary for us to provide support or operate services we control. However, content you type into Prompt ToolFactory through your own ChatGPT account is processed through OpenAI/ChatGPT and is not received or stored by Hodgkinson Publishing Ltd merely because you use our GPT.
You are responsible for ensuring you have the rights and lawful basis to submit any files, data, client information, instructions or other content to the systems you choose to use.
15. Confidentiality and Sensitive Information
Do not submit confidential, privileged, regulated or highly sensitive information to AI services or tools unless you have authority to do so and have assessed the relevant security, privacy, contractual and legal risks. Never place passwords, API keys or payment credentials into prompts or local browser tools unless the tool is specifically designed and secured for that purpose.
16. Prompt ToolFactory Intellectual Property
All rights in Prompt ToolFactory branding, websites, member portal, proprietary GPTs, prompts, prompt systems, workflows, methods, frameworks, training, documents, member-only tools, designs, copy, code and other proprietary materials belong to Hodgkinson Publishing Ltd or its licensors, except for Member-Created Tools as described in section 10 and third-party materials.
You must not reverse engineer, scrape, extract, publish, reproduce, sell, clone or train competing systems on our proprietary Factory materials except where expressly permitted in writing.
17. Feedback
If you voluntarily provide feature requests, suggestions or improvement ideas about Prompt ToolFactory, you allow us to use that feedback to improve and develop our products without obligation to compensate you, provided we do not thereby take ownership of your independently created Member-Created Tools.
18. Testimonials and Case Studies
If you provide a testimonial, review, success story, screenshot or feedback for marketing use, you grant us permission to reproduce and format it for reasonable promotional purposes unless you expressly withdraw that permission for future use. We may edit for length or clarity but will not knowingly alter the substance of what you said.
19. Third-Party Services
The website, checkout, member portal and build workflow may depend on third-party services such as ChatGPT/OpenAI, ProductDyno, ThriveCart, AWeber, hosting providers and payment processors. We are not responsible for third-party downtime, model changes, policy changes, pricing, account restrictions, security incidents or service discontinuation.
20. Availability and Changes
We aim to provide reasonable continued access to the membership while it is operated, but do not guarantee uninterrupted, error-free or permanent availability of any particular website, GPT, model, platform, tool or feature. We may update, replace or discontinue resources for maintenance, security, legal, technical, provider or business reasons.
21. Support
Support requests must be submitted through ProductSupportDesk.com. Unless expressly agreed otherwise, we do not guarantee a particular response time, resolution time, implementation service or business outcome.
22. Pricing, Taxes and Payment
You agree to pay the amount shown at checkout. Prices may change for future purchases but will not retrospectively change a completed purchase. You are responsible for applicable taxes, VAT, duties, foreign-exchange charges or similar amounts associated with your purchase where legally applicable.
23. Chargebacks and Payment Disputes
If you believe a payment error or duplicate purchase occurred, contact support first. We may suspend access where a payment is reversed, disputed or charged back. We may provide payment, access, account and digital-delivery evidence to payment processors, banks, card networks, fraud-prevention providers or dispute handlers where reasonably necessary.
24. Compliance With Laws
You are responsible for complying with laws, regulations, industry rules, client contracts and third-party platform policies applicable to your business, Member-Created Tools and outputs, including where relevant privacy, AI governance, advertising, intellectual property, consumer protection, email marketing, tax, employment, financial-promotion, confidentiality and professional rules.
25. No Professional Advice
Prompt ToolFactory, its training, examples, tools, outputs and documentation are provided for general business, educational, technical, productivity, marketing and informational purposes. They are not legal, financial, tax, accounting, medical, investment, insurance, employment, HR, regulatory, security or other regulated professional advice.
26. Disclaimers and No Warranty
To the fullest extent permitted by law, the website, membership, tools, training, prompts, code, outputs and services are provided "as is" and "as available". We do not warrant that a tool will meet your requirements, be accurate, secure, compliant, original, error-free, uninterrupted, commercially successful or suitable for publication without review.
27. Limitation of Liability
Nothing in these Terms excludes liability that cannot lawfully be excluded, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation. Subject to that, to the fullest extent permitted by law we are not liable for lost profit, revenue, sales, contracts, goodwill, reputation, anticipated savings, data, use, business interruption, wasted expenditure, inaccurate AI output, third-party failure, or indirect/special/consequential loss arising from the membership or Member-Created Tools.
To the fullest extent permitted by law, our aggregate liability relating to the relevant membership will not exceed the amount paid by you for that membership or £100, whichever is greater.
28. Indemnity
You agree to indemnify and hold harmless Hodgkinson Publishing Ltd and its directors, employees, contractors, suppliers and licensors from third-party claims, losses and reasonable costs arising from your unlawful use, breach of these Terms, Member-Created Tools, content, infringement of third-party rights, unauthorised data processing or commercial claims made by you, to the extent permitted by law.
29. Suspension and Termination
We may suspend, restrict or terminate access where we reasonably believe you breached these Terms, shared credentials, resold member materials, attempted to extract proprietary systems, created a security/legal risk, used the service unlawfully, or where payment has failed or been reversed. Termination for breach does not entitle you to a refund except where required by law or for a verified duplicate purchase.
30. Updates to These Terms
We may update these Terms as the membership, law or third-party platforms evolve. The current version will be published at prompttoolfactory.com/terms.html. Material changes may also be communicated through the website, member portal, email or support desk where appropriate.
31. Privacy
Your use of Prompt ToolFactory is also subject to our Privacy Policy. In particular, see that policy for the distinction between data we process directly and content processed through your own ChatGPT account.
32. Force Majeure
We are not responsible for delay or failure caused by events beyond our reasonable control, including internet or hosting failure, cyberattack, third-party outages, AI-provider changes, payment-processor failure, natural disaster, war, government action, changes in law or platform restrictions.
33. Assignment
You may not transfer your PTF membership account or obligations under these Terms without our written consent. This does not restrict your rights to distribute your own finished Member-Created Tools under section 10. We may assign or transfer our rights and obligations as part of ordinary business operations, restructuring or sale of the membership business.
34. Severability and No Waiver
If a provision is found invalid or unenforceable, the remaining Terms continue in effect and the affected provision will be interpreted to preserve its intended lawful commercial effect as far as possible. Failure to enforce a provision immediately does not waive our right to enforce it later.
35. Entire Agreement
These Terms, together with the Privacy Policy, Disclaimer, checkout terms and any separate written licence expressly incorporated into your purchase, form the agreement between you and us regarding Prompt ToolFactory. A separate written licence supplied with a specific resource or transaction controls to the extent it expressly grants additional rights.
36. Governing Law and Jurisdiction
These Terms and any dispute or claim arising from them are governed by the laws of England and Wales. Subject to mandatory rights that apply, the courts of England and Wales have exclusive jurisdiction.
